Esotiq Club shopping club rules and regulations

 

§ 1 Definitions

1. Organiser / Shopping Club Organiser – ESOTIQ & HENDERSON S.A. with its registered office in Gdańsk, address: ul. Budowlanych 31C, 80-298 Gdańsk, registration files at the District Court Gdańsk-Północ in Gdańsk, 7th Commercial Division of the National Court Register, KRS number 0000370553, NIP: 583-311-72-20, REGON: 221133543, share capital PLN 223,350.00, paid in full.

2. Terms and Conditions – these terms and conditions of the ESOTIQ CLUB Shopping Club, which define the rights and obligations of the Participant in the Shopping Club, in particular the benefits of participating in the Shopping Club;
3. Club/Shopping Club – the ESOTIQ CLUB loyalty programme, prepared and run by the Organiser, addressed to customers of ESOTIQ Salons and customers of the ESOTIQ Online Store, who will be entitled to certain Privileges for participating in the ESOTIQ CLUB Shopping Club;
4. Participant – a natural person making purchases for purposes not directly related to their business or professional activity (i.e. a consumer) who has met the conditions necessary to participate in the Shopping Club in accordance with these Terms and Conditions;

5. Application form – a printed application form available in Stores or an electronic application form available online via the Customer Account in the Online Store;
6. Card – ESOTIQ CLUB card issued by the Shopping Club Organiser to the Participant in accordance with these Terms and Conditions, bearing a unique number and confirming the Participant's eligibility to participate in the Shopping Club;

7. Privileges – rights granted to Participants by the Organiser for participation in the Shopping Club;
8. Showroom – each of the ESOTIQ company showrooms, a list of which can be found at www.ESOTIQ.com in the showrooms tab.

9. Online Store – an organised IT platform for the presentation and sale of goods operated by the Shopping Club Organiser via the website www.esotiq.com Terms and Conditions of the Online Store.

10. Customer Account – the Customer's personal data together with data on previous transactions and the status of the current order, stored in the Organiser's IT system, access to which is protected by a login and password created by the Participant during registration in the Online Store;

11. Esotiq Club online – part of the Customer Account enabling the Participant to enjoy Privileges when shopping in the Online Store.

§ 2 Preliminary provisions

1. The subject of these Terms and Conditions is to define the rules of participation in the Shopping Club, in particular the rights and obligations of the Participant, as well as the Privileges associated with participation in the Club.
2. Participation in the Shopping Club is voluntary and free of charge.

3. The duration of the Shopping Club is indefinite and shall continue until it is terminated by the Organiser.
4. The privileges enjoyed by Participants of the Shopping Club will be subject to constant change, which does not affect the right to use them at the time when they are binding at the time of purchase. Information about current Privileges and the rules for exercising them will be available at www.ESOTIQ.com, and information about them will also be sent by email to the Participant's email address and/or telephone number, hence providing a telephone number and email address is necessary for the purposes of participating in the Club.

5. Acceptance of the Terms and Conditions takes place:

a) electronically, i.e. by the Participant ticking the box accepting the Terms and Conditions via their Customer Account in the Online Store or in the Mobile Application;

b) by providing the salesperson at the Esotiq store with the activation code, which will be sent in advance to the telephone number provided by the Participant;

 c) by the Participant signing the application form available in the Stores – only in the event of a technical failure, see §3 section 1c.

 

§ 3 Participation in the Club

1. The Organiser acts in good faith that the person applying to join the ESOTIQ CLUB Shopping Club:

a) has the required legal capacity to perform the action; and

b) the data and information provided is true; and

c) has read and accepted these Terms and Conditions (in accordance with §2 section 5).

1a. Participants may express their desire to join the ESOTIQ CLUB Shopping Club:

a. in person at an Esotiq store;

b. via an electronic application form available online through the Customer Account in the Online Store or mobile application

1b. Personal registration for participation in the ESOTIQ CLUB Shopping Club takes place as follows:
a. The Customer verbally informs the salesperson at the Esotiq store of their desire to join the ESOTIQ CLUB Shopping Club;
b. The Customer provides the salesperson with their telephone number (required) and name, e-mail address, date of birth (optional) and agrees to receive a link to the Club Rules, a link to the Privacy Policy and an activation code to the telephone number provided;

c. The salesperson enters the data provided by the customer into the ICT system;

d. An SMS message with the following content is sent to the telephone number provided by the customer: "Providing the Seller's code means that you wish to join the ESOTIQ CLUB shopping club and accept the Terms and Conditions https://esotiq.com/pl/en/esotiq-club-regulations Code XXXXXX".
e. the customer receives a text message with the above content and provides the seller with the six-digit activation code received; providing the activation code to the seller constitutes the conclusion of an Agreement with Esotiq  to join the Shopping Club in accordance with 7 of the Terms and Conditions and Privacy Policy;

- the salesperson in the store enters the activation code into the computer system;

- Entering the code by the salesperson allows the customer's data to be saved in the database and enables the salesperson to issue an ESOTIQ CLUB card;

- the customer receives a text message confirming their membership in the Shopping Club and information on how to cancel their membership.

1c. Only in the event of technical problems in the store, such as lack of Internet access, is it possible to apply for membership in the Shopping Club by filling out a paper application form.

2. Upon receipt of the application form accepted by the Participant, the Organiser shall grant the person interested in participating in the ESOTIQ CLUB Shopping Club the status of Participant and issue them with a Card with an individual number.

3. The Participant shall collect the Card:

a) in the case of registration using the registration form available in the Showrooms or registration in accordance with the procedure described in §3 section 1b directly in the Showroom;

b) in the case of registration using the electronic registration form, at the Participant's discretion: together with the first order placed in the Online Store or in a Salon selected by the Participant (after verification of the Participant in the Esotiq Club database - verification of the Participant's telephone number provided in the registration form).

§ 4 Card

1. Upon joining the Club, each Participant receives a Card confirming their membership in the Club and entitling them to enjoy the Privileges.

2. The Participant must present the Card with each purchase in the Store in order for the purchase to be recorded by the Club. Failure to present the Card at the time of purchase excludes the possibility of invoking the fact of purchases made by the Participant and the related Privileges at a later date.

3. Each Participant is entitled to one Card.

4. The Card can only be registered with the Esotiq Club online in the Participant's Customer Account in the Online Store.

5. The Card is valid in all Stores and in the Online Store for the entire duration of the Club.

6. Use of the Card in the Online Store (Esotiq Club online) is fully possible after the Participant has physically collected the Card and registered with Esotiq Club online. Failure to register with Esotiq Club online or failure to physically collect the Card at the time of purchase in the Online Store excludes the possibility of invoking, at a later date, the fact of purchases made by the Participant in the Online Store and the related Privileges. However, the one-time welcome discount referred to in §5(2)(b) is available to the Participant at the time of registration, regardless of the physical collection and registration of the Card.

7. The Card is the property of the Organiser.

8. The Card may only be used by the Club Participant and may not be made available by the Participant to other persons.

9. The Card is not a payment card.

10. The Participant is obliged to immediately inform the Organiser of the loss or theft of the Card, and the Organiser will deactivate the Card.

11. A Participant who notifies the Organiser of the loss or theft of the Card may apply for a duplicate. Within 21 days of the date of the application, the Organiser will send the Participant a duplicate Card to the address indicated in the application.

§ 5 Privileges for Club membership

1. By virtue of their membership in the Club, based on the Card received from the Organiser, the Participant is entitled to Privileges, which will appear periodically.

2. The Participant is entitled to a one-time discount on the purchase of non-discounted products at:

a) The Salon – on the day of submitting a written application on the application form available at the Salon;

b) the Online Store – on the day of submitting an electronic application to join the ESOTIQ CLUB Shopping Club.

3. The Participant is entitled to use the Privilege:

a) in the Salon only after presenting the Card in the Salon and after the Participant has expressed their wish to take advantage of a given Privilege (the rights resulting from the Privilege will be exercised by the Organiser only if the Participant expresses their wish to take advantage of the Privilege at the time of purchase);
b) in the Online Store only after prior activation of the Esotiq Club online account and after the Participant has expressed their willingness to use the given Privilege by ticking the box indicating their willingness to use the given Privilege at the time of purchase in the Online Store (the rights arising from the Privilege will be exercised by the Organiser only if the Participant expresses their willingness to use the Privilege at the time of purchase)

4. Privileges cannot be combined, unless the rules of a specific Privilege expressly state otherwise.

5. If the Privileges take the form of discounts, reductions or rebates, they shall apply to the regular gross prices of goods and shall not apply to discounted goods. Privileges cannot be combined with other promotions valid in Stores and in the Online Store, unless otherwise specified in the Privilege.

6. In the event of a service being found to be non-compliant with the Terms and Conditions, the Participant may lodge a complaint in accordance with § 8(2a)-(2c) of the Terms and Conditions, and the Organiser shall take steps to restore compliance within the time limit specified in § 8(2c) of the Terms and Conditions and without undue inconvenience to the Participant.

§ 6 Resignation from the Club and loss of Participant status

1. The Participant may withdraw from the Club at any time without incurring any costs. Resignation should be made by sending a statement of resignation by e-mail to club@esotiq.com or by submitting a statement of resignation in the Salon verbally to the salesperson (in which case §3(1b) shall apply accordingly).

2. The resignation statement becomes effective upon receipt by the Organiser.

3. The Organiser reserves the right to immediately exclude a Participant from the Esotiq Club shopping club in the event of abuse or actions contrary to the Terms and Conditions, in particular in the event of:

  1. providing false personal data or false information during registration;
  2. use of another person's account without their consent,
  3. acting in a manner intended to defraud, including manipulating the mechanisms of the Shopping Club;
  4. violation of the principles of ethics and good practice in relations with other Participants or the Organiser
  5. the Participant not having consumer status.

4. Resignation from the Club by a Participant or exclusion of a Participant from the Club and loss of Participant status results in the deactivation of that Participant's Card.

 

§ 7 Personal data

1. Personal data is processed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 7 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC.

2. The administrator of personal data processed in connection with participation in the Club is ESOTIQ & HENDERSON S.A. with its registered office in Gdańsk, address: ul. Budowlanych 31C, 80-298 Gdańsk. Details regarding the protection of personal data are included in the Privacy Policy at  https://esotiq.com/pl/en/privacy-policy, and in the Cookies Policy at https://esotiq.com/pl/en/cookies

3. By signing or accepting the application form in electronic form, the Participant simultaneously declares that they have read and accept these Terms and Conditions, which they confirm in the form by ticking the appropriate box. In this way, a Club Membership Agreement is concluded between the Participant and Esotiq on the terms and conditions described in these Terms and Conditions. Acceptance of the Terms and Conditions is voluntary, however, failure to accept the Terms and Conditions will result in the failure to conclude a Club Membership Agreement, including refusal to issue a Card (refusal to grant Participant status).

4. For purposes related to the Club Participation Agreement, it is necessary for Esotiq to process personal data in accordance with the rules described in the Privacy Policy .

 

§ 8 Final provisions

1. The content of the Regulations is available to all interested parties at the Salon, the Organiser's headquarters, and on the ESOTIQ website: www.esotiq.com. The Organiser shall notify Participants of any changes to the Regulations by e-mail, reminding them of their right to withdraw from the Club at any time. Amendments to the Terms and Conditions shall enter into force 14 days after the date of notification to Participants. Orders placed before the amendments to the Terms and Conditions enter into force shall be subject to the provisions of the Terms and Conditions in force at the time the order was placed by the Participant.

2a. Complaints regarding the operation of the Esotiq Club shopping club may be submitted in writing to the Organiser's registered office (ul. Budowlanych 31C, 80-298 Gdańsk) or by e-mail to: club@esotiq.com .

2b. The complaint should include: the Participant's first and last name, the Participant's address, including e-mail address, the circumstances justifying the complaint, as well as the Participant's specific request related to the complaint. If possible and justified, documents or photographs supporting the complaint and which may be helpful in resolving the complaint should be attached to the complaint. If the data or information provided in the complaint needs to be supplemented, the Organiser shall ask the Participant submitting the complaint to supplement it to the extent indicated before considering the complaint.

2c. The Organiser shall consider the complaint within 14 days of receiving a correctly prepared complaint. The Organiser shall notify the Participant of the outcome of the complaint by post or e-, depending on the method of submitting the complaint

 3. In the event of a dispute between the Organiser and the Participant, the competent authority for resolving the dispute shall be a Polish common court. Esotiq & Henderson S.A. with its registered office in Gdańsk declares that it does not consent to participate in proceedings for out-of-court settlement of consumer disputes.

4. These Terms and Conditions are effective from 23 July 2020.

4. Cards issued by the Organiser before the date of entry into force of these Terms and Conditions remain valid. The Organiser ensures the possibility of registering the Cards referred to in the previous sentence in the Esotiq Club online and using the Privileges in the Online Store on the terms described in these Terms and Conditions.
